These Terms of Service govern your use of the Phantomhive Ltd website at phantomhive.co.uk and any services you engage from us. Phantomhive Ltd is registered in England and Wales. By using this website or engaging our services, you accept these terms in full.
Phantomhive Ltd provides technology services including but not limited to: locally-deployed AI systems (Phantom AI), WhatsApp Business AI, workflow automation, Python development, bespoke software and POS development, CRM automation, IT infrastructure installation, digital and media signage, AI strategy consulting, and AI remote recruitment services.
Specific deliverables, timelines, payment terms and technical specifications for each engagement are agreed in writing before work commences. These Terms apply to all engagements unless superseded by a specific written contract.
You may use this website for lawful purposes only. You must not use it to transmit any material that is unlawful, harmful, threatening, abusive, or defamatory. You must not attempt to gain unauthorised access to any part of our systems. We reserve the right to suspend access to the website at any time without notice.
All content on this website — including text, design, code, logos, images and brand assets — is the intellectual property of Phantomhive Ltd unless otherwise stated.
For client engagements: upon full payment, clients own the deliverables created specifically for them (custom software, automation scripts, configured systems). Phantomhive retains ownership of proprietary frameworks, methodologies and tools used to build those deliverables.
For project-based work: a deposit (typically 50%) is required before work commences. The remaining balance is due on delivery unless agreed otherwise in writing. For retainer services: payment is due monthly in advance. Invoices unpaid after 14 days may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.
For project-based engagements: cancellation after work has commenced forfeits the deposit. Work completed to the point of cancellation will be invoiced pro-rata. For monthly retainer services: 30 days' written notice is required to cancel. No refunds are issued for the current billing period.
Our locally-deployed AI systems are installed on client hardware. If you cancel our retainer, the system continues to operate — you own it. We simply cease providing updates and support.
Phantomhive Ltd's total liability for any claim arising from our services shall not exceed the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential or incidental losses including loss of profit, revenue, or data. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
Both parties agree to keep confidential any proprietary information shared during an engagement. Phantomhive will not disclose client business data to third parties without consent. For AI and automation engagements, client data processed by our systems remains the client's property at all times. See our Privacy Policy for full details on data handling.
We warrant that our services will be delivered with reasonable skill and care in accordance with our agreement. We do not warrant that our systems will be error-free or uninterrupted. AI systems are provided as tools to assist human decision-making — they should not be the sole basis for decisions in high-stakes contexts.
These Terms are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance. For existing client engagements, changes to Terms do not apply retrospectively.
